MagusNet, LLC. CORPORATION ONLINE SERVICES AGREEMENT Please read these Guidelines, and the Terms and Conditions services carefully before opening or continuing an account with MagusNet LLC.. By using MagusNet LLC. services, you agree to comply with these Acceptable Use Guidelines, and MagusNet LLC. may terminate your MagusNet LLC. account if you fail to comply with these guidelines. IF YOU DO NOT AGREE TO BE BOUND BY THESE GUIDELINES, YOU SHOULD IMMEDIATELY END YOUR USE OF MagusNet LLC. SERVICES AND NOTIFY THE MagusNet LLC. CUSTOMER SERVICE DEPARTMENT SO THAT MagusNet LLC. MAY INITIATE A CLOSURE OF YOUR ACCOUNT. The following policy regards both private mail and public postings made from this system. Posting messages from this system constitutes agreement to the terms of this policy. Monetary terms used in this document are in reference to United States Dollars. The accountholder agrees to use MagusNet LLC.'s services only for lawful purposes, in compliance with all applicable Federal, State, and Local laws. Services Provided. MagusNet, LLC. operates an online, computerized interactive information, communication and transaction system (the "System") which provides access to the Internet. MagusNet, LLC. will provide to Customer the services (the "Services") designated on the website and/or any attached Application Form(s), the terms of which are incorporated herein. The term "Customer" shall, when the context permits, include Customer's officers, employees, agents and contractors. Customer will not permit access to the System by users under the age of 18. No Interference. Customer shall not restrict or inhibit any user of the System, or of another Internet or Usenet service provider or online service provider from using and enjoying the System or the Internet or Usenet. Customer shall not abuse or fraudulently use the System or the Internet or Usenet in any way. Content. Customer shall not use the System to post or transmit any illegal material, including without limitation any transmissions that would constitute a criminal offense, give rise to civil liability, or otherwise violate any local, state, national or international law or regulation, including without limitation United States export control laws and regulations. No Harmful Transmissions. Customer shall not post or transmit any information or software which is intended to damage the operation of another computer. Protected Materials. Customer shall not upload, post, publish, transmit, reproduce, or distribute in any way, information, software or other material obtained through the System which is protected by copyright or other proprietary right or derivative works with respect thereto, without obtaining permission of the copyright owner or rightholder and shall not upload, post, publish, reproduce, transmit or distribute in any way any component of the System itself or derivative works with respect thereto. Right to Monitor and Control Content. MagusNet, LLC. has no obligation to monitor or remove information on the System and Customer acknowledges that postings and communications by other users are not reviewed, monitored, screened, approved or endorsed by MagusNet, LLC.. Customer understands that the System is public and not private. Customers agrees that MagusNet, LLC. has the right to monitor the System electronically from time to time and to disclose any information as necessary to satisfy any law, regulation or other governmental request, to operate the System properly, or to protect itself or its users. MagusNet, LLC. will not intentionally monitor or disclose any messages unless requested by law. MagusNet, LLC. reserves the right (but is not obligated) to refuse to post or to remove, without notice, any information or material, in whole or in part, that, in MagusNet, LLC.'s sole discretion, is unacceptable, undesirable, or in violation of this Agreement. DISCLAIMER OF WARRANTY. CUSTOMER EXPRESSLY AGREES THAT USE OF THE SERVICES AND THE SYSTEM AND THE MATERIAL THEREIN AND STORAGE OF INFORMATION WHICH APPEARS IN THE SYSTEM IS AT CUSTOMER'S SOLE RISK. NEITHER MagusNet, LLC. NOR ANY OF ITS AFFILIATES, CONTRACTORS, EMPLOYEES, AGENTS OR VENDORS WARRANTS THAT THE SERVICES OR THE SYSTEM WILL BE UNINTERRUPTED OR ERROR FREE OR THAT ANY INFORMATION, SOFTWARE OR OTHER MATERIAL ACCESSIBLE ON THE SYSTEM IS FREE OF VIRUSES, WORMS, CANCELBOTS, TROJAN HORSES OR OTHER HARMFUL COMPONENTS; NOR DOES MagusNet, LLC. OR ANY OF ITS AFFILIATES, CONTRACTORS, EMPLOYEES, AGENTS OR VENDORS MAKE ANY WARRANTY AS TO THE RESULTS TO BE OBTAINED FROM THE SERVICES OR USE OF THE SYSTEM. THE SERVICES AND THE SYSTEM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE OR NONINFRINGEMENT OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR USE OTHER THAN THOSE WARRANTIES WHICH ARE IMPLIED BY AND INCAPABLE OF EXCLUSION, RESTRICTION OR MODIFICATION UNDER THE LAWS APPLICABLE TO THIS AGREEMENT. NO ADVICE OR INFORMATION GIVEN BY MagusNet, LLC., ITS CONTRACTORS, AGENTS, AFFILIATES OR VENDORS OR THEIR RESPECTIVE EMPLOYEES SHALL CREATE A WARRANTY. NEITHER MagusNet, LLC. NOR ITS AFFILIATES, CONTRACTORS, AGENTS, VENDORS OR THEIR RESPECTIVE EMPLOYEES MAKES ANY EXPRESS OR IMPLIED WARRANTIES, REPRESENTATIONS OR ENDORSEMENTS WHATSOEVER (INCLUDING WITHOUT LIMITATION, WARRANTIES OF TITLE, NONINFRINGEMENT OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE) WITH REGARD TO ANY MERCHANDISE, INFORMATION OR SERVICE PROVIDED BY A THIRD PARTY THROUGH THE SYSTEM OR THE INTERNET OR USENET. IT IS SOLELY CUSTOMER'S RESPONSIBILITY TO EVALUATE THE ACCURACY, COMPLETENESS AND USEFULNESS OF OPINIONS, ADVICE, SERVICES AND OTHER INFORMATION, AND THE QUALITY AND MERCHANTABILITY OF ALL MERCHANDISE PROVIDED BY THIRD PARTIES THROUGH THE SYSTEM OR THE INTERNET OR USENET. LIMITATION OF LIABILITY. NEITHER MagusNet, LLC. NOR ANYONE ELSE INVOLVED IN CREATING, PRODUCING OR DELIVERING THE SERVICES OR OPERATING THE SYSTEM SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES CAUSED OR ALLEGEDLY CAUSED BY ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS, COMMUNICATIONS LINE FAILURE, THEFT OR DESTRUCTION OR UNAUTHORIZED ACCESS TO, ALTERATION OF, OR USE OF RECORDS, OR OTHERWISE CAUSED OR ALLEGEDLY CAUSED BY USE OF THE SYSTEM OR INABILITY TO USE THE SYSTEM, WHETHER FOR BREACH OF CONTRACT, BREACH OF WARRANTY, TORTIOUS BEHAVIOR, NEGLIGENCE, OR UNDER ANY OTHER CAUSE OF ACTION. NEITHER MagusNet, LLC. NOR ITS AFFILIATES, CONTRACTORS, AGENTS, VENDORS OR THEIR RESPECTIVE EMPLOYEES SHALL BE LIABLE IN ANY WAY FOR ANY DAMAGES THAT RESULT IN ANY WAY FROM CUSTOMER'S RELIANCE ON OR USE OF INFORMATION, SERVICES OR MERCHANDISE PROVIDED ON OR THROUGH THE SYSTEM OR THE INTERNET OR USENET BY THIRD PARTIES. THE PROVISIONS OF THIS SECTION 8 WILL SURVIVE ANY TERMINATION OF THIS AGREEMENT. CUSTOMER'S SOLE AND EXCLUSIVE REMEDY FOR ANY CAUSE OF ACTION BASED ON THE SUBJECT MATTER OF THIS AGREEMENT IS TO TERMINATE THIS AGREEMENT EFFECTIVE IMMEDIATELY. Third Party Products and Services. Customer is responsible for providing equipment and services necessary to utilize the System. MagusNet, LLC. shall provide only the Services set forth in this Agreement and/or any related Application Form(s), and MagusNet, LLC. is not responsible in any way for information, products, or services provided by third parties, even if advertised or made available through the System or the Internet or Usenet. Customer agrees to promptly pay any third party vendor for any products or services obtained through the System or the Internet or Usenet, and to abide by the terms of any agreements Customer enters into through the System or the Internet or Usenet. Indemnity. Customer agrees to defend, indemnify and hold MagusNet, LLC., its affiliates, contractors, agents, vendors and their respective employees harmless from any and all liabilities, costs and expenses, including reasonable attorneys' fees, related to or arising from: (a) any violation of this Agreement by Customer, (b) the use of the System or the Internet or Usenet or the placement or transmission of any message, information, software or other materials on the System or the Internet or Usenet by Customer, (c) acts or omissions of Customer in connection with the construction, installation, maintenance, presence, use or removal of systems, channels, or terminal equipment or software not provided by MagusNet, LLC. which are connected or are to be connected to the System; and (d) claims for infringement of patents arising from the use of equipment and software, apparatus and systems not provided by MagusNet, LLC. in connection with the Services and the System. Right to Restrict Access. MagusNet, LLC. may deny Customer access to all or part of the System without notice if Customer engages in any conduct or activities that MagusNet, LLC. in its sole discretion believes violates any of the terms and conditions in this Agreement. If MagusNet, LLC. denies Customer access to the System because of such a violation, the Customer shall have no right (1) to access through MagusNet, LLC. any materials stored on the System, the Internet or Usenet, (2) to obtain any credit(s) otherwise due to Customer, and such credit(s) will be forfeited, (3) to access third party services, merchandise or information on the System, the Internet or Usenet through MagusNet, LLC., and MagusNet, LLC. shall have no obligation to notify any third-party providers of services, merchandise or information nor any responsibility for any consequences resulting from lack of notification or restriction of Customer's access. Security. Access to the System, the Internet or Usenet, and to certain online transactions involves the use of identification numbers, passwords, charge or debit accounts or other individualized nonpublic information ("Private Documentation"). Customer shall use its best efforts to prevent unauthorized use of the System or of any Private Documentation, and shall promptly report to MagusNet, LLC. any suspected unauthorized use or other breach of security. Customer shall be responsible for any unauthorized use of its identification numbers or passwords until MagusNet, LLC. receives written notice of a breach of security and a request to block further access for such numbers and passwords. MagusNet, LLC. shall not be liable for any unauthorized use of charge, debit or other credit accounts. Protection of Software. MagusNet, LLC. may provide to Customer certain configuration files or software, including third-party software, for use with the System (the "MagusNet, LLC. Software"). All MagusNet, LLC. Software provided to Customer, and each revised version thereof, is licensed to Customer only for use in connecting to and using the System. Use or copying for any other purpose is prohibited and is a breach of this Agreement. If Customer receives such MagusNet, LLC. Software, Customer will be subject to the terms and conditions set forth in an end user agreement, which is attached hereto and is hereby expressly acknowledged and accepted by Customer. The MagusNet, LLC. Software files remain the property of MagusNet, LLC. or its vendors at all times. This license to use MagusNet, LLC. Software will terminate upon termination of this Agreement. At that time the Customer must return the MagusNet, LLC. Software to MagusNet, LLC. or destroy it. MagusNet, LLC., or third parties, may provide Customer will additional software that may be used by Customer, subject to the terms of applicable licenses. Customer agrees to abide by the terms of all such software licenses. Term and Termination. This Agreement shall be automatically renewed for successive one-month periods, unless Customer gives written notice of cancellation of not less than 30 days to MagusNet, LLC.. MagusNet, LLC. shall have the right to terminate this Agreement immediately in the event of a breach of any of its terms by Customer or without cause. Payment. In consideration of the Services, non-free service Customers agree to pay the fees set forth on the attached Application Form(s). MagusNet, LLC. will invoice Customer for the Services on a Monthly basis, and all amounts due, unless otherwise specified by MagusNet, LLC., are due and payable 5 days from the date of invoice. Amounts not paid when due will cause access and/or the paid service to be discontinued. Entire Agreement; Guidelines. All prior or contemporaneous agreements, contracts, promises, representations, if any, between the parties or their representatives related to the subject matter of this Agreement are merged into this Agreement and the Application Form(s). These terms and conditions, along with any operating rules or guidelines published over the System by MagusNet, LLC., constitute the entire agreement between MagusNet, LLC. and Customer with respect to the Services. No amendment to this Agreement shall be effective unless acknowledged in writing by MagusNet, LLC.. Customer agrees to comply with MagusNet, LLC.'s operating rules and guidelines, which may be amended from time to time at MagusNet, LLC.'s sole discretion. Governing Law; Jurisdiction and Venue. This Agreement shall be governed by, and construed in accordance with, the laws of the State of Michigan, exclusive of choice of law rules. Venue for any action arising out of or in connection with this Agreement shall be in Troy, Michigan. The parties each hereby consent to the jurisdiction and venue in Troy, Michigan and waive any objections to such jurisdiction and venue. Enforceability. If any portion of this Agreement is wholly or partially unenforceable, for any reason, such unenforceability shall not affect the balance hereof. Assignment. Customer may not assign its rights or obligations under this Agreement without the prior written consent of MagusNet, LLC., which may be withheld in MagusNet, LLC.'s sole discretion. No Waiver. MagusNet, LLC.'s failure to insist upon or enforce any provision of this agreement shall not be construed as a waiver of any provision or right. MagusNet LLC. accounts are provided for use in conformance with these Guidelines and the Terms and Conditions. MagusNet LLC. reserves the right to investigate suspected violations of these Guidelines. When MagusNet LLC. becomes aware of possible violations, MagusNet LLC. may initiate an investigation which may include gathering information from the accountholder or accountholders involved and the complaining party, if any, and examination of material on MagusNet LLC.'s servers. During an investigation, MagusNet LLC. may suspend the account or accounts involved and/or remove the material involved from its servers. If MagusNet LLC. believes, in its sole discretion, that a violation of these Guidelines has occurred, it may take responsive action. Such action may include, but is not limited to, temporary or permanent removal of material from MagusNet LLC.'s servers, the cancellation of newsgroup posts, warnings to the accountholder or accountholders responsible, and the suspension or termination of the account or accounts responsible. MagusNet LLC., in its sole discretion, will determine what action will be taken in response to a violation on a case-by-case basis. Violations of these Guidelines could also subject the accountholder to criminal or civil liability. The accountholder of record is responsible for all use of the account, with or without the knowledge or consent of the accountholder. Materials in the public domain (e.g., images, text, and programs) may be downloaded or uploaded using MagusNet LLC. services. Accountholders may also re-distribute materials in the public domain. The accountholder assumes all risks regarding the determination of whether the material is in the public domain. The account holder is prohibited from storing, distributing or transmitting any unlawful material through MagusNet LLC. services. Examples of unlawful material include but are not limited to direct threats of physical harm, child pornography, and copyrighted, trademarked and other proprietary material used without proper authorization. The accountholder may not post, upload or otherwise distribute copyrighted material on or through MagusNet LLC.'s servers without the consent of the copyright holder. The storage, distribution, or transmission of unlawful materials could subject the accountholder to criminal as well as civil liability, in addition to the actions outlined above. The account holder may not store or distribute certain other types of material on or through MagusNet LLC.'s servers. Examples of prohibited material include, but are not limited to, programs containing viruses or trojans and tools to compromise the security of other sites. Each MagusNet LLC. proxy account user is responsible for the security of his or her password. The accountholder is prohibited from utilizing MagusNet LLC. services to compromise the security or tamper with system resources or accounts on computers at MagusNet LLC. or at any other site. Use or distribution of tools designed for compromising security is prohibited. Examples of these tools include but are not limited to password guessing programs, cracking tools, network probing or port scanning tools. MagusNet LLC. reserves the right to release the usernames of accountholders involved in violations of system security to system administrators at other sites, in order to assist them in resolving security incidents. MagusNet LLC. will also fully cooperate with law enforcement authorities in investigating suspected lawbreakers. MagusNet LLC. will allocate system resources to provide all accountholders with the best service possible. As part of resource allocation, MagusNet LLC. may limit, restrict or prioritize access to system resources, including CPU time, memory, disk space, session length, and number of sessions. Additionally, MagusNet LLC. may institute services and fees for account holders who are interested in accessing system resources above and beyond acceptable usage. MagusNet LLC. may log instances of abuse of system resources, including but not limited to those outlined below, and take action as outlined above. All system and application logs created in all MagusNet.com controlled domains are purged on a daily basis and will be stored for no more than a maximum of 48 hours before automated deletion. UNDER NO CIRCUMSTANCES WILL ANY SYSTEM OR APPLICATION LOG INFORMATION EVER BE REVEALED OR RETAINED BEYOND 48 HOURS. System abuse is defined as any use of MagusNet LLC. resources which disrupts the normal use of the system or Internet services for others. Examples of system abuse include, but are not limited to, attempting to disrupt the sessions of other Internet users, consuming excessive amounts of CPU time, network bandwidth, memory, disk space, or otherwise affecting the performance of MagusNet LLC. servers. MagusNet LLC. services include access to many Internet discussion groups (newsgroups). The accountholder acknowledges that some newsgroups contain language, pictures, or discussion of subjects intended for adult audiences. MagusNet LLC. does not monitor access to Usenet newsgroups or the content of posts by MagusNet LLC. accountholders or accountholders at other sites. Accordingly, MagusNet LLC. is not responsible for the content of any posting made to Usenet. MagusNet LLC. accountholders may not attempt to "flood" or disrupt Usenet newsgroups or other Internet sites. Disruption is defined, but not limited to, posting a large number of messages which contain no substantive content, to the extent that normal discussion in the group is significantly hindered. Examples of disruptive activities include, but are not limited to, posting multiple messages with no text in the body, or posting many followups to messages with no new text. MagusNet LLC. will investigate complaints regarding email and may, in its sole discretion, take action based on the rules below. If an email message is found to violate one of the policies below, or to contain unlawful material, as described above, MagusNet LLC. may take action as outlined above. MagusNet LLC. accountholders may not send email to any user who does not wish to receive it, either at MagusNet LLC. or elsewhere. MagusNet LLC. recognizes that email is an informal medium; however, accountholders must refrain from sending further email to a user after receiving a request to stop. The use of this system for unsolicited mass mailings or postings ( commonly known as spam ) by any customer will cause that customer's services to be terminated immediately and without warning, and the customer will be held legally responsible for the damages to this system, both monetary and in reputation. The use of any other service to make such a mailing or posting, with any reference to this system's services (including but not limited to mailboxes, autoresponders, and Web pages), shall also be grounds for account termination as described above. Damages in the amount of $1500 US per message, $1000 per complaint, plus collection costs if any, shall be due and payable immediately. Posting such messages constitutes agreement to these charges. Per message means that each addressee in the case of private mail, and each echo/newsgroup to which the message is posted in the case of public postings, and each hit on a Web page, will count as a seperate message and billed accordingly. It is commonly held that sending unsolicited commercial email is a violation of Title 47 USC, and the operators of this system will make all reasonable efforts to assist the victims/recipients of such messages to bring charges against and collect damages from the sender(s). Note that posting chain letters or make money fast (MMF) schemes that ask for money to be sent through the mail, and/or ask that message be reposted, are illegal in every civilized country of the world. In addition to the damages specified above, chain letter/MMF posters may expect to be reported to the National Fraud Information Center, the investigative arm of the US Postal Service, and the Internal Revenue Service. Use of this system to post messages or commit other acts with the apparent intent of causing harm to or harrassment of other persons; particularly by forging that person's email address; will be treated exactly like spamming and will result in account termination and fines. Should such acts result in an excessive number of messages, or excessively large messages (mailbombing) to be sent to the person whose address is forged, each message will be treated as a seperate instance and subject to the same $1500 US fine per message. In the event that person is denied access to his communications service as a result of such an attack, the person or persons responsible will be reported for violation of the ECPA of 1986; such a denial of service attack is a US Federal crime, and the operators of this service will make every effort to ensure that violators are tried, convicted, and serve time in a Federal prison. Any person whose account is terminated for violation of this Acceptable Use Policy will be properly and completely identified to the best of our ability, and that identification informtion will be shared will any and all Internet Service Providers and other interested parties. Any other service which receives connection to the Internet or other systems via this system will be held to the same standards delineated above. Failure to enforce these standards will result in immediate and permanent disconnection and may, at our option, be followed by litigation. Any person using an account name inside a MagusNet LLC. controlled domain for the purpose of sending unsolicited commericial email, unsolicited bulk email, or inappropriate commercial Usenet posts, will be subject to charges of $1500 per MagusNet LLC. account name used plus an additional $500 per addressee or per newsgroup article, as appropriate. This charge is regardless of the existence of the MagusNet LLC. account name used; such account will be established upon detection of use. 1. Customer agrees to comply with the rules, regulations and policies applicable to any network, server, computer database, web site, newsgroup or ISP that you access through MagusNet LLC. services. Any violation of such rules, regulations and policies may serve as cause for MagusNet LLC. to suspend or terminate your service. 2. Customer agrees that MagusNet LLC. reserves the right, with or without notice, to suspend or terminate the service provided to you under this Addendum upon the first or subsequent occurrence of any of the following events: a. The service is used in a manner which constitutes violation of any tariff, regulation, treaty or law (including, without limitation, copyright, privacy, criminal and international law); b. The service is used in a manner which is intended to abuse or to violate the privacy or property rights of others; c. The service is used to attempt to break security, or in fact, to break security of any computer network, or to access an account which does not belong to Customer; d. Customer agrees to immediately notify MagusNet LLC. of any unauthorized use of your account, and/or any breach, or attempted breach, of security known to you; e. Customer agrees that posting commercial messages requires that commercial postings have been approved by the specific group in its charter; f. Forging electronic mail headers (addresses), or any other method used to disguise Customers identity, (with the exception of adding a spamblock to prevent automatic address harvesting) is strictly prohibited; g. Mail-bombing, that is sending mass amounts of e-mail to one recipient or system, with the apprent intent to render said system dysfunctional or to harass a user or users of that system; h. Non-authorized relays through any third party systems is strictly prohibited; i.Flood attacks, that is to overburden a recipient computer system by sending a high volume of spurious data which effectively impedes functionality, or totally disables recipient system(s), and any other methods of denial of service, are strictly prohibited; j. Customer agrees that its customers must be bound to these same restrictions, and that such violation(s) by its customers is deemed to be a material breach by Customer. 3. Customer agrees that an infraction of any of the above is considered a material breach of its Network Access Agreement with MagusNet LLC., and further, that such infraction(s) may result in immediate termination of said Agreement. 4. Any customers of MagusNet LLC. who function in whole or in part as e-mail advertising companies on the Internet, and who are now or at any time in the past have been members of IEMMC (Internet E-mail Marketing Council), or practice or have at any time in the past practiced the sending of unsolicited bulk and/or commercial e-mail, and fails to identify those former practices at the time of application for an account, agrees to immediate termination of service, publication of all details of applicant's identity (except for credit card numbers), and indemnification of MagusNet LLC. in the amount of US $10,000, or actual damages as claimed by the recipients of such bulk email advertising, or US $1500 per addressee as determined by the sole judgement of the MagusNet LLC. adminstrative staff, whichever is greatest, plus collection fees (if any). 5. Any customer who attempts to conceal his true identity, or his association, either former or current, with well-known bulk email companies such as but not limited to Cyber Promotions, Quantum Communications, Nancynet, LLV.com, or thehitman.com, will be subject to penalties and indemnification as delineated in paragaph 4 above. Unsolicited advertising mailings, whether commercial or informational, are strictly prohibited. MagusNet LLC. accountholders may send advertising material only to addresses which have specifically requested it. MagusNet LLC. will not forward mail of accounts terminated for bulk mailing or unsolicited advertising. A minimum fine of $1500 will be imposed to cover the costs of dealing with an account holders behavior. The account holder will also be held responsible for ALL costs associated with dealing with any bulk emailing or unsolicited email. Violations of the MagusNet LLC. policies outlined in this document can sometimes result in massive numbers of email responses. If a MagusNet LLC. accountholder receives so much email that MagusNet LLC. resources are affected, MagusNet LLC. staff may shut down the accountholder's mailbox.
